Welcome to EasyCommerZ ("EasyCommerZ," "we," "us," or "our"), a product of DARKPIXEL, a no-code, software-as-a-service (SaaS) platform that enables individuals and businesses ("Merchants," "you," or "your") to build, manage, and operate online stores for physical and digital products, including integrated payment and courier services. These Terms and Conditions ("Terms") govern your access to and use of the website located at easycommerz.net, our dashboard, applications, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility and Account Registration
1.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use the Service.
1.2 To use the Service, you must register for an account and provide accurate, current, and complete information, including your business name, contact details, and any information required for identity or payment verification.
1.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.
1.4 EasyCommerZ reserves the right to refuse registration, suspend, or terminate any account at our discretion, including where we suspect fraud, misuse, or violation of these Terms.
2. Description of Service
2.1 EasyCommerZ provides tools to create and operate an online storefront, including store design templates, product and inventory management, order management, and integrations with third-party payment processors (including SSLCommerz, bKash and more) and courier/logistics providers (including Pathao, Steadfast and more).
2.2 EasyCommerZ acts solely as a technology platform provider. We are not a party to the sale transactions between Merchants and their customers ("End Customers"), and we do not take title to, or responsibility for, the products or digital goods sold through Merchant stores.
2.3 Features, integrations, and pricing tiers may change over time, and we may add, modify, or discontinue features at our discretion, with reasonable notice for material changes affecting paid features.
3. Subscription Plans, Fees, and Payment
3.1 Access to the Service is offered under subscription plans as described on our Pricing page, custom/enterprise plans. Prices are subject to change with prior notice.
3.2 Subscription fees are billed in advance on a recurring basis (monthly or as selected at signup) via your chosen payment method. You authorize us (or our payment processing partners) to charge your payment method automatically at the start of each billing cycle.
3.3 Except as described in our Refund Policy, subscription fees are non-refundable, including for partial billing periods, unused features, or early cancellation.
3.4 Failure to pay applicable fees may result in suspension or termination of your access to the Service.
3.5 Any transaction, courier, or gateway fees charged by third-party payment processors (e.g., SSLCommerz, bKash) or courier partners (e.g., Pathao, Steadfast) for orders processed through your store are separate from, and in addition to, your EasyCommerZ subscription fee, and are governed by those third parties' own terms.
4. Merchant Responsibilities and Acceptable Use
4.1 You are solely responsible for the products, digital goods, content, descriptions, pricing, and legal compliance of your store, including but not limited to consumer protection, product safety, tax, customs, and advertising laws applicable in your jurisdiction and the jurisdictions of your End Customers.
4.2 You agree not to use the Service to:
- Sell counterfeit, stolen, illegal, or prohibited goods or services;
- Engage in fraud, money laundering, or deceptive trade practices;
- Infringe on the intellectual property, privacy, or other rights of any third party;
- Distribute malware, conduct unauthorized data scraping, or attempt to compromise the security of the Service;
- Violate any applicable law or regulation, including Bangladesh's Digital Commerce regulations and consumer protection laws.
4.3 You are responsible for fulfilling orders, honoring your own posted policies (including any refund or return policy you publish to End Customers), and providing customer support to your End Customers.
4.4 EasyCommerZ reserves the right, but has no obligation, to monitor store content and to remove or suspend stores that violate these Terms or applicable law.
5. Third-Party Integrations
5.1 The Service integrates with third-party payment gateways (including SSLCommerz and bKash) and courier/logistics providers (including Pathao and Steadfast). Your use of these integrations is subject to the respective third party's own terms, privacy policies, and fees, which you are responsible for reviewing and accepting separately.
5.2 EasyCommerZ is not responsible for outages, errors, delays, or losses caused by third-party payment or courier providers, though we will make reasonable efforts to support you in resolving integration issues.
6. Intellectual Property
6.1 EasyCommerZ retains all rights, title, and interest in and to the Service, including our software, templates, trademarks, logos, and platform design. Nothing in these Terms grants you ownership of the Service.
6.2 You retain ownership of the content, product listings, images, and branding you upload to your store ("Merchant Content"). You grant EasyCommerZ a limited, non-exclusive, worldwide license to host, display, and transmit Merchant Content solely as necessary to operate and provide the Service.
6.3 You represent and warrant that you have all necessary rights to the Merchant Content you upload and that it does not infringe any third party's rights.
7. Data and Privacy
Your use of the Service, and our collection and use of your information and your End Customers' information, is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Service Availability and Modifications
8.1 We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance that temporarily affects availability.
8.2 We may update, modify, or discontinue features of the Service at our discretion. We will provide reasonable notice of material changes that negatively affect core paid functionality.
9. Suspension and Termination
9.1 You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period unless otherwise stated in our Refund Policy.
9.2 We may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraudulent or illegal activity, fail to pay applicable fees, or where required by law.
9.3 Upon termination, your right to access the Service ceases. We may retain or delete your store data in accordance with our Privacy Policy and applicable data retention obligations. We recommend regularly exporting your store data.
10. Disclaimers and Limitation of Liability
10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYCOMMERZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING FROM YOUR USE OF THE SERVICE.
10.3 EASYCOMMERZ'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO EASYCOMMERZ IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10.4 Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless EasyCommerZ and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Merchant Content, your violation of these Terms, or your violation of any law or third-party right.
12. Governing Law and Dispute Resolution
12.1 These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles.
12.2 Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
